GRE Pocket Shops, LLC provides professional computer systems design and technology consulting services, including but not limited to systems architecture design, network engineering and optimization, cloud infrastructure planning and migration, cybersecurity assessment and engineering, data center planning and implementation, IT strategy consulting, and related technical services. The specific scope, deliverables, timeline, and fees for any service engagement shall be set forth in a separate written agreement, statement of work, or service proposal executed by both parties.

The Website serves as an informational platform describing our service offerings and providing means for prospective clients to contact us. No binding contractual relationship for the provision of Services is created solely through the use of this Website. A binding agreement for Services requires a separately executed written document signed by authorized representatives of both parties.

7 Client Deliverables and Work Product

In the course of providing Services to our clients, GRE Pocket Shops, LLC may create deliverables, including but not limited to system architecture diagrams, network designs, technical specifications, configuration files, deployment plans, security assessments, and other work product. Unless otherwise agreed in a separate written agreement, the Company retains ownership of all methodologies, tools, frameworks, know-how, and pre-existing intellectual property used in the delivery of Services.

Upon full payment of all fees due under the applicable service agreement, the client shall receive ownership of or a perpetual, royalty-free license to use the specific deliverables created for that engagement, as defined in the governing statement of work. The Company reserves the right to use general knowledge, skills, and experience acquired during any engagement in future work for other clients, provided that confidential client information is protected.

8 Fees, Payment, and Billing

The fees for our Services shall be as set forth in the applicable statement of work, proposal, or service agreement. All fees are stated in United States dollars and are exclusive of applicable taxes, which shall be the responsibility of the client unless otherwise specified. The Company reserves the right to modify its pricing at any time, provided that any pricing changes shall not affect engagements already confirmed through an executed agreement.

Payment terms shall be as specified in the applicable service agreement. Unless otherwise stated, invoices are due within thirty calendar days of the invoice date. Late payments may be subject to interest at the rate of one and one-half percent per month or the maximum rate permitted by Utah law, whichever is less. The client shall be responsible for all costs of collection, including reasonable attorneys fees, incurred by the Company in collecting any past-due amounts.

9 Confidentiality and Non-Disclosure

In the course of providing Services, the Company may receive confidential and proprietary information from its clients. Confidential Information means any information disclosed by one party to the other, either directly or indirectly, in writing, orally, or by inspection of tangible objects, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure.

The Company agrees to hold all client Confidential Information in strict confidence, not to disclose such information to any third party without the clients prior written consent, and to use such information solely for the purpose of performing the Services. These obligations shall survive the termination of any service agreement and shall continue for a period of three years thereafter, or indefinitely with respect to trade secrets.

Confidential Information does not include information that is or becomes publicly available through no fault of the receiving party, was rightfully in the receiving party's possession prior to disclosure, is independently developed by the receiving party without use of the disclosing party's Confidential Information, or is required to be disclosed by law or court order.

10 Limitation of Liability

To the fullest extent permitted by applicable law, GRE Pocket Shops, LLC, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to lost profits, loss of revenue, loss of data, business interruption, loss of goodwill, or computer failure or malfunction, arising out of or in connection with your use of, or inability to use, the Website or Services, whether based on warranty, contract, tort, negligence, strict liability, or any other legal theory, even if the Company has been advised of the possibility of such damages.

The Company's total aggregate liability for any claims arising out of or relating to these Terms, the Website, or the Services shall not exceed the greater of the amount actually paid by you to the Company in the twelve months preceding the event giving rise to the claim, or one hundred United States dollars. These limitations shall apply notwithstanding any failure of essential purpose of any limited remedy.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some or all of the above exclusions and limitations may not apply to you. In such jurisdictions, the Company's liability shall be limited to the maximum extent permitted by law.

The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms.

Any legal suit, action, or proceeding arising out of or related to these Terms or the Website or Services shall be instituted exclusively in the federal courts of the United States or the courts of the State of Utah, in each case located in Salt Lake County, Utah. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts. You agree that any claim or cause of action arising out of or related to these Terms must be filed within one year after such claim or cause of action arose, or it shall be forever barred.

16 Dispute Resolution

Before filing any formal legal action, you agree to first attempt to resolve any dispute arising out of or relating to these Terms or the Services informally by contacting the Company. The Company will attempt to resolve the dispute informally through good-faith negotiation. If the dispute cannot be resolved within sixty calendar days from the date the dispute was first raised, either party may proceed with formal legal action as permitted under these Terms.

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against the Company.
